Terms & Conditions | WH Silicone OEM Manufacturing

By placing an order with WH Silicone OEM Factory (“Supplier”) you (“Client”) agree to the following terms.

1. Definitions

“Products” – custom silicone goods manufactured by Supplier; “Services” – design, LSR injection molding, compression molding, packaging and logistics; “Intellectual Property (IP)” – drawings, molds, trademarks and confidential information.

2. Order Acceptance & Pricing

  • All quotations for custom silicone manufacturing remain valid for 30 days.

  • Tooling, sample and unit prices are confirmed in the pro-forma invoice.

  • Production starts only after receipt of the agreed advance payment (typically 50 %). Final balance is due before shipment.

3. Mold & Tooling Ownership

  • Unless otherwise agreed in writing, molds paid in full by Client become Client’s property and are stored free of charge for two years of continuous production.

  • Supplier will not use Client-owned molds for third-party orders.

4. Quality & Compliance

  • Products are manufactured under ISO-aligned procedures using food-grade, medical-grade or industrial-grade silicone as specified.

  • Supplier supplies FDA/LFGB/ROHS certificates on request.

  • Acceptance criteria are based on the last approved golden sample.

5. Shipping, Lead Time & Incoterms

  • Standard lead time: mold fabrication 7-15 working days; mass production 15-25 working days.

  • Delivery follows agreed Incoterms® (EXW, FOB, CIF, DDP). Full details in our Shipping Policy.

  • Risk transfers to Client according to the chosen Incoterm.

6. Return & Refund

Defect claims must be filed within 7 days of receipt with photo/video evidence. Supplier’s sole obligation is, at its discretion, to repair, replace or refund defective silicone parts in accordance with our Return & Refund Policy.

7. Warranty & Liability

  • Supplier warrants Products are free from manufacturing defects for 90 days.

  • Supplier is not liable for indirect, incidental or consequential damages exceeding the value of the defective goods.

8. Intellectual-Property & Confidentiality

  • All Client IP remains confidential; NDAs are available.

  • Any design improvements made by Supplier for manufacturability remain Supplier know-how but may be used solely for Client’s order.

9. Force Majeure

Neither party shall be liable for failure caused by events beyond reasonable control, including but not limited to natural disaster, pandemic or governmental action.

10. Governing Law & Dispute Resolution

  • These terms are governed by the laws of [Your Jurisdiction].

  • Disputes shall be settled by friendly negotiation; failing that, by arbitration under the rules of the [specified arbitration commission].

11. Amendments

Supplier may update these Terms & Conditions; the latest version is always available on this page. Continued placement of orders constitutes acceptance of any revisions.
